Terms of Use

These Terms of Use (the "Terms") govern your use of Jot, a voice-first notes app for iPhone, and the website at jot.sparqan.com. Jot is built and provided by an independent developer (the "developer," "we," "us," or "our"). By downloading, installing, or using Jot, you agree to these Terms. If you do not agree, do not use the app.

The short version: Jot is free and provided as-is. Voice transcription is automatic and can be wrong — always check it, and don't rely on it for anything important. Your notes are yours, and you're responsible for them. To the extent the law allows, the developer isn't liable for losses from using a free app. Texas law governs, and we'll always try to sort out any problem with you directly first.

1. License Grant

Subject to these Terms and to Apple's Licensed Application End User License Agreement (see Section 9), the developer grants you a personal, limited, non-exclusive, non-transferable, revocable license to download and use Jot on Apple-branded devices that you own or control, solely for your own personal, non-commercial use. Jot is licensed to you, not sold.

2. Your Content

You own everything you create in Jot — your notes, transcripts, and any text you write or dictate ("Your Content"). The developer claims no ownership of Your Content and, as described in our Privacy Policy, has no access to it: Your Content stays on your device and, if you enable iCloud, in your own private Apple iCloud account. You are solely responsible for Your Content, for keeping your own backups, and for ensuring you have the right to create and store it.

3. Transcription Is Not Guaranteed to Be Accurate

Jot converts speech to text using Apple's on-device speech recognition. Automated transcription is inherently imperfect and may contain errors, omissions, or misinterpretations — especially with accents, background noise, technical terms, names, numbers, or unclear audio. You must not rely on Jot's transcriptions for any purpose where accuracy matters, including but not limited to medical, legal, financial, safety-critical, or recordkeeping purposes. Always review and correct transcribed text before relying on it. You are responsible for verifying the accuracy of any output before acting on it.

4. Acceptable Use

You agree not to: (a) use Jot for any unlawful purpose or in violation of these Terms; (b) reverse-engineer, decompile, or attempt to extract the source code of the app, except to the extent that restriction is prohibited by applicable law; (c) interfere with or disrupt the app, the website, or Apple's services; or (d) use Jot to store or process content you do not have the right to handle. You are responsible for your use of Jot and for complying with all laws that apply to you.

5. Intellectual Property

Jot, including its name, design, user interface, code, and the jot.sparqan.com website, is owned by the developer and protected by intellectual-property laws. Except for the limited license in Section 1, no rights are granted to you. "Jot" and associated branding may not be used without permission. These Terms do not transfer any ownership of the app to you.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above may not apply to you; in that case, the exclusions and limitations apply to the fullest extent permitted by law.

8. Backups and Data Loss

Because the developer holds none of your data, the developer cannot recover lost notes. iCloud sync depends on Apple's services and your settings, and is provided by Apple. You are responsible for maintaining your own backups of anything important.

9. Apple App Store Terms

You obtained Jot through the Apple App Store. Your use is also subject to Apple's Licensed Application End User License Agreement (the "Apple LSA / standard EULA"), available at apple.com/legal/internet-services/itunes/dev/stdeula. These Terms supplement Apple's standard EULA; if there is a direct conflict on a topic Apple's EULA addresses, Apple's EULA controls for that topic. You acknowledge that:

10. Termination

These Terms apply until terminated. You may terminate at any time by deleting Jot from your devices. The developer may suspend or end the app or your license if you materially breach these Terms or if the law requires it. Sections that by their nature should survive termination (including Sections 2, 5, 6, 7, 8, 11, and 12) will survive.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict-of-laws rules, and (where applicable) by U.S. federal law. Nothing here limits any non-waivable consumer-protection rights you may have under the laws of the place where you live.

Informal resolution first. If you have a concern, please email support@sparqan.com before starting any formal proceeding. We will try in good faith to resolve it with you directly. Most issues can be settled this way.

Venue. Subject to any non-waivable rights, you agree that the state and federal courts located in Texas, USA will have exclusive jurisdiction over any dispute that is not resolved informally, and you consent to venue there.

12. Severability & Entire Agreement

If any provision of these Terms is held unenforceable, the rest remains in effect, and the unenforceable provision will be limited or modified only as much as necessary. These Terms, together with our Privacy Policy and Apple's standard EULA, are the entire agreement between you and the developer regarding Jot, and supersede any prior understandings on that subject.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date. Your continued use of Jot after changes take effect means you accept the updated Terms. The current version is always available at jot.sparqan.com/terms.html.
